Terms and conditions

for third party trainers

These terms and conditions have been updated on 06.11.2020.

By accepting these Terms and Conditions, which are a mandatory element of your registration as a trainer in the ActaUni platform, you agree to comply with the same.

These rules contain details governing the rights, obligations and conduct of third-party trainers in the ActaUni platform and are an integral part of our General terms and conditions to use the platform.

Trainers who are directly engaged by Idein EOOD, as  owner of the ActaUni platform, conclude individual contracts, which regulate their rights, obligations and behaviour in the platform. The trainings developed by them are precisely and clearly marked in the platform. If you wish to use materials developed by our team, please contact us by e-mail office@idein.eu.

As a third party trainer, these Rules are the contract you enter into with Idein EOOD.

  1. Obligations of the trainers

As a trainer, you are responsible for all content you publish, including, but not limited to, courses, lessons, quizzes, exercises, practice tests, assignments, materials, answers, content of the course landing page , and communications (“Published Content”).

You guarantee and confirm the following:

  • The account information you provide is accurate and up-to-date.
  • You are the owner of the published content or you have all the necessary licenses, rights, permits and authorizations to publish this content and respectively to authorize Idein EOOD to use it in accordance with these and General Terms and Conditions.
  • The content you submit does not in any way infringe the intellectual property rights of third parties.
  • You have the necessary qualifications as well as specialized knowledge in order to provide the training you publish.
  • You guarantee that the quality of your training meets the standards in the relevant field of knowledge, as well as the standards for teaching services in general.

You also guarantee that:

  • You will not publish inappropriate, offensive, racist, inciting, sexist, pornographic, false, misleading, inaccurate, infringing, defamatory or derogatory content or information.
  • You will not publish or transmit unsolicited or unauthorized advertisements, promotional materials, unsolicited or spam messages or other requests (commercial or otherwise) as part of the training provided to users through the platform.
  • You will only use the Platform to provide training, upgrade knowledge and teach your learners.
  • You will not engage in any activity in the platform that could lead to payment of licenses or fees by Idein EOOD to third parties, such as remuneration for public performance of musical works or sound recordings.
  • You will not impersonate anyone or gain unauthorized access to another person’s account.
  • You will not disturb, hinder or prevent other trainers from providing their training in any way.
  1. Right to use the training materials by Idein EOOD.

You grant Idein EOOD the right as set forth in Terms and conditions of use, to offer, sell and use the content you publish in order to make it available to the participants. This includes the right to add subtitles or make technical adjustments to the content to ensure accessibility for all, e.g. increase font, sound, etc.

You have the right, unless otherwise agreed, to remove the training published by you in whole or in part from our platform, at any time. All rights granted to learners prior to the removal of published content will continue to exist in accordance with the General Terms and Conditions, including lifetime access.

We are allowed to use all or part of the content published by you in order to control the quality of the developed materials, as well as for demonstrations, marketing and advertising campaigns, etc.

  1. Trust and safety

3.1 Trust and safety policy

ActaUni does not publish courses in some subject areas. The topic may be excluded due to concerns that it is considered either harmful or offensive to learners, or because it is otherwise contrary to the values and spirit of ActaUni.

Restricted topics

Sexuality

It is forbidden to publish any pornographic content – directly or by default.  Topics related to reproductive health and intimate relationships should not contain elements of overt or covert pornography.

Examples of what is not allowed:

  • Instructions for seduction and / or sexual techniques
  • Discussion of sex toys

Examples of what is allowed:

  • Safe sex courses
  • Psychology of sexual communication

Nudity and clothing

Nudity is only allowed when it is an essential element of training, such as in an artistic, medical or academic context. Clothing should be appropriate for the subject area of study, without undue emphasis on exposed parts of the body.

For example, the following are allowed:

  • Fine art and body painting
  • Anatomical illustrations
  • Medical footage or demonstrations

Meetings and relationships

Content for the purpose of attraction, flirtation, courtship, etc. is not allowed.

What is allowed:

  • Marriage counselling
  • General discussions of intimacy in courses focused on strengthening partnerships

Examples of what is not allowed:

  • Gender stereotypes and gender roles

Weapon instructions

Content that provides instructions for the manufacture, handling or use of firearms or air operated weapons is not permitted.

Examples of what is allowed:

  • How to disarm an attacker

Violence and bodily harm

Dangerous activities or behaviours that may affect health or cause injury are not permitted. Incitement to violence, in all its forms, is absolutely unacceptable.

Examples of what is not allowed:

  • Self-harm
  • Drug abuse
  • Unhealthy weight control methods
  • Extreme body modifications
  • Courses on techniques that encourage aggression

Examples of what is allowed:

  • Martial arts courses
  • Recovery programs for different types of addictions

Discriminatory language or ideas

Content or behaviour that promotes discriminatory attitudes based on group characteristics such as race, religion, nationality, disability, gender identity, gender or sexual orientation is strictly prohibited on the platform.

Illegal or unethical activities

The content must comply with the applicable national legislation. Activities that are illegal in many jurisdictions may also be prohibited, even if they are permitted in the consumer’s country of residence.

Examples of what is not allowed:

  • Instructions for accessing cracking software
  • Instructions for all forms of harassment

What is allowed:

  • Instructions on how to find a voucher / coupon

Misinformation and misleading content

Instructions that are intentionally misleading or that promote ideas contrary to those of the scientific, medical or academic communities will not be allowed for publishing.

Not allowed, e.g.:

  • Training / theories leading to hesitation about the benefits of vaccines

Inappropriate or otherwise sensitive topics or language

Our team will control not only the type of topic discussed, but the way it is presented. When providing instruction in a sensitive area, make sure that all related training materials relate appropriately  to the subject. Avoid language and images that are incendiary, offensive, or insensitive in any manner.

We reserve the right to cancel courses, suspend payments and / or block trainers without notice in the following cases :

  • Non-compliance with our policies and conditions (including the General Terms and Conditions) by the trainer or if the content of the training does not meet them;
  • Poor training materials (illegible texts, poor quality of video materials, etc.) or negative feedback on the course from the trainees;
  • Behaviour of a trainer, which undermines the authority of Idein EOOD and ActaUni and can lead to public discrediting, involvement in a scandal, etc.

3.2 Relationships with other users

As a trainer, you do not have a direct contractual relationship with the trainees, so the only information you will receive about them is that provided through the Platform. You agree to use the data provided to you solely for the purposes of your ActaUni training and you guarantee that you will neither request additional personal data or nor store personal data of participants outside the platform.

You agree that Idein EOOD shall not be liable for any liability and shall be released from any claims or actions arising out of your use of the participants’ personal information.

  1. Price formation

When you publish a course, you can determine the price you want students to pay to participate in it.

You also have the right to publish training, which is provided free of charge.

  1. Payments

5.1 Shared revenue

When a trainee buys your course, we will calculate the gross amount of the sale as the actual amount received by Idein EOOD. From this amount we deduct all transaction fees and 3% administration and processing fee and this is the net amount of revenue from one participant.

Your share of any fee paid by a trainee who has signed up for your training will be 70% of the net amount payable for your course, less any deductions that may be required, such as a refund per trainee.

In case Idein EOOD decides to change this percentage, you will be notified in an appropriate way such as email message or post in a prominent place on the platform no later than 30 days before the change takes effect.

All payments to the trainers will be made by Idein EOOD in BGN if the trainer is in Bulgaria and in EUR for trainers located outside Bulgaria, regardless of the currency in which the sale was made. We will cover transaction processing fees, with the exception of currency conversion and bank transfer fees.

Each trainer receives a sales report, which clearly shows the selling price in local currency and the amount of the sale, after conversion into euros.

5.2 Receipt of payments

You must have a PayPal account and provide us with the correct email address associated with your account in order for us to make a timely payment or a bank account.

Payments will be made within 45 days of payment of the relevant course.

As a trainer, you are responsible for whether you have the right to receive payments from a Bulgarian company.

We reserve the right not to make payments in the event of proven fraud, infringement of intellectual property rights or other infringements of the applicable law.

The trainer is fully responsible for paying the taxes due, in accordance with the applicable law of the country in which he resides.

5.3 Refunds

You agree that learners are entitled to a refund of the tuition fee paid, as set out in Terms and conditions of use. Trainers will not receive payments for transactions that are refunded under the Terms and conditions of use.

If the trainee requests a refund after we have already made the relevant payment to you, we reserve the right (1) to deduct the amount of the refund from the next payment to be made to you, or (2) if we do not owe you additional payments, or if the amounts of the payments are not sufficient to cover the refunds, the right to ask you to pay all the amounts refunded to the trainees in your training courses.

If you would like to delete your account as a trainer, please contact an administrator by email: office@idein.eu

All payments due to you until the moment your account is deleted will be paid to you within a reasonable time if all commitments are met.

Keep in mind that under our clause for Lifetime Access for enrolled courses, learners should continue to have access to them even after you close your account..

You agree that students who have previously enrolled in your courses will continue to have access to your name and published content even after your account has been deleted.

  1. Other legal provisions

7.1 Updates

We may periodically update these Terms and Conditions, for various reasons, incl. and when we add new features.

Idein EOOD reserves the right to change these Terms and Conditions at any time in its sole discretion. In the event of a change, you will be notified either by email notification sent to the email address specified in your account, or by a message posted at a prominent place on the Platform. The changes take effect on the day of their publication, unless otherwise stated.

If you continue to use the platform after the changes take effect, it means that you accept the changes.

All updated Terms and Conditions supersede the previous ones.

7.2 Translations

All translations outside Bulgarian / Flemish on these terms are provided for convenience only. You agree that the Bulgarian version of the Conditions for Trainers shall prevail in any potential conflict.

7.3 The relationship between us

You and we agree that there is no joint venture, partnership, employment or contractor-contractor relationship between us.
